1. Definitions

“We”, “Us”, “Our”: [Your Business Name], registered in the United Kingdom.
“You”, “Client”, “Customer”: The person, firm, or company purchasing services from us.
“Services”: PCB brokerage, logistics, file checking, engineering advice, and related services as described on our website or agreed in writing.

2. Acceptance of Terms

By placing an order or using our services, you agree to be bound by these Terms & Conditions. These Terms shall prevail over any other terms provided by you, unless expressly agreed in writing by us.

3. Scope of Service

- We act as a broker to source PCBs and coordinate manufacturing/assembly on your behalf.
- We offer basic engineering advice limited to circuit and PCB layout review; we do not provide full circuit design, firmware, or software services.
- We may check your files for manufacturability, but ultimate responsibility for the design rests with you.
- All quotations and services are subject to availability and confirmation by us.

4. Orders, Payment & Pricing

- Orders are accepted in writing (including email).
- Payment terms will be agreed per order. Unless otherwise stated, payment is due in full before production begins.
- All prices are exclusive of VAT (if applicable), import duties, and shipping unless otherwise stated.
- We reserve the right to amend pricing prior to acceptance of your order.

5. Delivery, Title & Risk

- Estimated delivery dates are not guaranteed and may be affected by third-party suppliers, customs, or logistics delays.
- Title to goods passes to you upon full payment.
- Risk in the goods passes to you upon delivery to your specified address.

6. Quality, Inspection & Acceptance

- You are responsible for inspecting all goods upon receipt.
- Claims for shortages, defects, or damage must be made in writing within 7 days of delivery.
- Our liability is limited to, at our option, repair, replacement, or refund for defective goods up to the amount paid for those goods.

7. Warranties & Limitations

- We warrant only that the goods supplied conform to the specifications agreed in writing.
- No other warranties, express or implied, are provided.
- Engineering advice is given in good faith but without liability for outcomes or losses.
- We are not liable for loss of profits, indirect, or consequential losses.

8. Intellectual Property & Confidentiality

- All design files and confidential information received from you will be handled securely and not disclosed to third parties except as necessary for order fulfilment or required by law.
- We offer to sign NDAs upon request.

9. Compliance

- We will make reasonable efforts to ensure PCBs are RoHS/REACH compliant if requested by you and if supplier certification is available.
- It is your responsibility to specify any compliance requirements at the time of order.

10. Force Majeure

We are not liable for any delay or failure to perform our obligations caused by events beyond our reasonable control, including supplier delays, customs issues, or force majeure.

11. Returns, Refunds & Cancellations

- Orders may not be cancelled or amended once production has commenced.
- Returns will only be accepted for goods that are defective or not as specified.
- Refunds or replacements are provided at our discretion and limited to the value of the original order.

12. Limitation of Liability

- Our total liability to you, whether in contract, tort, or otherwise, shall not exceed the value of the order to which the claim relates.
- Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence or for fraud.

13. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

14. Changes to Terms

We reserve the right to amend these Terms & Conditions at any time. The latest version will be available on our website.
